COREY RODER, CPA PLLC

MERGERS & ACQUISITIONS

Navigate the Deal With Clarity and Confidence.

Whether you’re acquiring a business, preparing to sell, evaluating a transaction, or planning for the period after close, we provide the financial analysis and decision support needed to understand what the numbers mean for the deal.

M&A & TRANSACTION ADVISORY

A Successful Transaction Requires More Than a Purchase Price.

The economics of a transaction extend well beyond headline valuation. We help buyers, sellers, and business owners evaluate earnings, cash flow, working capital, deal assumptions, financial risks, transaction structure, and post-close considerations so important decisions are supported by clear financial analysis.

SCOPE OF SERVICES

What we do, and don't do

Corey Roder, CPA PLLC provides accounting and financial advisory services in connection with mergers and acquisitions. The firm is not a broker-dealer and does not provide securities brokerage services.

Corey Roder, CPA PLLC does not itself perform audits, reviews, or other assurance engagements. Need an audit, review, or other assurance engagement? We can help coordinate it. Corey Roder, CPA PLLC maintains referral relationships with independent CPA firms that provide these services. The assurance engagement is separately contracted with and performed by the independent CPA firm.

Transactions typically involve legal counsel, and depending on the transaction may involve an investment banker or licensed intermediary. Our role is the accounting and financial analysis.

HOW THE WORK IS ORGANIZED

Where the work fits in a transaction

Before a transaction. Financial preparation, normalized earnings analysis, and transaction modeling — establishing what the financial record shows and how it will be presented before a counterparty examines it.

During diligence. Quality of earnings, financial due diligence, working-capital analysis, and buy-side or sell-side financial analysis.

Transaction structure. Accounting implications of the transaction, transaction-related tax planning where applicable, and valuation and transaction support.

After close. Post-transaction financial and accounting advisory, within the scope of the engagement.

RELATED

How this relates to a quality of earnings analysis

A quality of earnings analysis is one component of transaction diligence. See Quality of Earnings for what that analysis covers.

For contractors, transaction diligence turns heavily on work-in-progress quality, estimated cost to complete, and backlog composition. See Construction & Contractor Accounting.
